These Freelancer Terms of Service (“Terms”) govern your access to and use of Scalezy as a freelancer, contractor, consultant, creative professional, developer, marketer, operator, customer support specialist, or any independent service provider using the platform.

2. Platform Role
Scalezy operates as a curated talent marketplace that connects freelancers with clients.
- Review applications
- Vet freelancer qualifications
- Match freelancers with clients
- Facilitate contracts
- Process payments
- Offer support
- Facilitate dispute resolution
- Offer replacement opportunities
- Employ freelancers
- Guarantee project volume
- Guarantee income
- Supervise day-to-day work
- Control how services are performed
3. Contractor Status
Freelancers are independent contractors. Nothing in these Terms creates an employment relationship, agency relationship, joint venture, or partnership.
Freelancers:
- Control how work is performed
- Set their own working schedules
- Use their own tools unless otherwise agreed
- Handle their own taxes and legal obligations
Freelancers are not entitled to:
- Salary
- Benefits
- Paid leave
- Insurance
- Severance
- Employment protections
4. Eligibility
To join Scalezy, freelancers must:
- Be at least 18 years old
- Provide accurate identity information
- Provide accurate professional credentials
- Complete verification processes when requested
- Comply with applicable laws
5. Profile Accuracy
Freelancers may not:
- Misrepresent experience
- Fake credentials
- Use false portfolios
- Misrepresent previous results
6. Project Acceptance
Freelancers may choose whether to accept projects.
Once a project is accepted, freelancers agree to:
- Deliver agreed services
- Communicate professionally
- Meet agreed deadlines
- Maintain responsiveness
7. Payment Terms
Clients pay upfront through Scalezy’s payment infrastructure powered by Stripe.
Scalezy deducts a 20% platform service fee unless otherwise agreed in writing.
Fee Example
Client pays:$1,000
Scalezy platform fee (20%):-$200
Freelancer receives:$800
Scalezy may modify fees for promotions, custom agreements, enterprise arrangements, or special campaigns.
8. Payment Release
Payments are released when:
- Client approves work
- Milestones are completed
- Contract terms are satisfied
- Scalezy resolves disputes
9. 1-Week Guarantee
Freelancers may optionally enable the 1 Week Guarantee on their profile.
If enabled:
- Freelancer must clearly define first-week deliverables
- Client may request review during first 7 days
- Freelancer unresponsiveness (48+ hours)
- Major mismatch with agreed scope
- Failure to meet agreed initial deliverables
- Client changing project requirements
- Unrealistic expectations
- Delays caused by client
Resolution Actions
Scalezy may facilitate rematching, pause payouts, review disputes, or issue partial releases.
10. Non-Circumvention
Freelancers may not:
- Accept off-platform payments from Scalezy-introduced clients
- Move active contracts off-platform
- Bypass platform fees
This restriction applies during active engagements and for 12 months after introduction.
11. Non-Solicitation
Freelancers may not:
- Poach Scalezy employees
- Recruit Scalezy contractors
- Misuse client relationships introduced through the platform
12. Intellectual Property
Upon full payment:
- Clients own final deliverables unless otherwise agreed.
- Freelancers retain ownership of pre-existing frameworks, templates, tools, and proprietary systems unless explicitly transferred.
13. Confidentiality
Freelancers must protect confidential information including:
- Client business information
- Financial data
- Customer data
- Product plans
- Internal systems
14. Account Suspension
Scalezy may suspend or terminate freelancer accounts for:
- Fraud
- Repeated poor performance
- Harassment or abuse
- Payment circumvention
- Misrepresentation
- Policy violations
15. No Guarantee of Work
Scalezy does not guarantee:
- Project volume
- Client demand
- Minimum earnings
- Continuous engagements
Marketplace opportunities may fluctuate.
16. Platform Discretion
Scalezy may:
- Remove listings
- Restrict features
- Pause payouts during disputes
- Require verification
- Enforce platform policies
17. Disclaimer of Warranties
Scalezy provides services “as is” and “as available.”
We make no guarantees regarding:
- Earnings
- Client quality
- Frequency of opportunities
- Platform uptime
18. Limitation of Liability
To the fullest extent permitted by law:
Scalezy is not liable for:
- Lost income
- Lost clients
- Lost opportunities
- Indirect damages
19. Indemnification
Freelancers agree to indemnify Scalezy against claims related to:
- Fraud
- IP violations
- Misconduct
- Breach of contract
- Regulatory violations
20. Privacy
Use of Scalezy is subject to our Privacy Policy and Cookie Policy.
21. Modifications
Scalezy may update these Terms at any time.
22. Governing Law
These Terms are governed by the laws of the United Arab Emirates.
23. Dispute Resolution
Any disputes related to these Terms shall be resolved through binding arbitration in Dubai, UAE, conducted in English.
